Artist and Label Agreement
This agreement covers the music you put on Audiolox: what you promise about it, the rights you give us to offer it, how credits and shares work, and how you are paid. You sign it before your first upload.
1. What this agreement covers
This agreement is between you and Belmont Labs Inc. ("Audiolox"). It applies when you upload a song, and when you accept a share on a song someone else uploaded. It works together with the Terms of Use, the AI Music Policy and the Copyright and Takedown Policy.
2. What you may upload
- Original music only. You, together with the people you credit, must own or control every right in both the recording and the song itself (the music and the lyrics).
- No cover versions.
- No samples, beats or other material from someone else, unless you hold written permission that covers this use.
- Artwork and other material you upload must also be yours to use.
We review new uploads before they go live, and we may decline music that does not meet this agreement.
3. Your promises
Each time you upload, you promise that:
- You have the rights described in section 2 and the authority to grant the rights in section 4.
- The credits and shares you enter are accurate and complete.
- Your declaration about the use of AI is accurate.
- The music does not infringe anyone's rights and is not unlawful.
- No other agreement, including one with a publisher, a label or a collecting society, stops you from licensing the music to Audiolox directly.
4. Rights you give Audiolox
You keep ownership of your music. You give Audiolox a non-exclusive license, in every country where Audiolox is available and for as long as the song is on Audiolox, to:
- store, encode, encrypt and copy the song;
- deliver it to subscribers' devices and play it to them through the Audiolox apps;
- display its title, artwork, credits and AI label; and
- use short previews, your profile name, your avatar and your artwork to present and promote your music on Audiolox.
The license is non-exclusive. You remain free to release your music anywhere else.
5. Credits and shares
- List every artist, writer and producer who is entitled to a share. The shares on a song must add up to 100%.
- Each credited person is invited to review their share and sign. A share that has not been signed for is held until that person signs, subject to unclaimed property law.
- If a credited person disputes a share, we may hold the song's earnings until the people involved resolve it. Audiolox does not decide ownership disputes.
- A change to the shares needs the agreement of everyone it affects.
- Record labels. A record label may choose to collect all earnings from a release. When it does, Audiolox pays the label alone. The label confirms that it holds the right to collect those earnings, and it is solely responsible for paying its artists, writers, producers and anyone else who is owed a share, under its own agreements with them. Audiolox has no obligation to those people for that release.
6. How plays are counted
- A full play is counted when a subscriber listens to the song through to the end, as measured by the Audiolox app. A play that reaches at least 95% of the song's length is treated as a full play.
- Plays made offline are counted when the subscriber's app next connects.
- Every play is checked before it counts. These plays do not count:
- plays of the same song by the same subscriber beyond a daily repeat limit;
- plays by one subscriber beyond a daily ceiling;
- plays that overlap in time with another play by the same subscriber;
- plays of a song by a subscriber who uploaded it or is credited on it;
- plays by a subscriber whose payment was reversed, disputed or made with a card they had no right to use;
- plays we reasonably determine to be artificial or fraudulent.
- Plays only earn while the subscriber's subscription is paid. If a play has already been counted and the subscriber's payment is later disputed or reversed, the play is taken back.
- Plays during a subscriber's free trial are counted in your reports but are not paid, because no subscription fee has been received for them.
- The current repeat limit and daily ceiling are published in the admin. We may change them with at least 30 days' notice.
7. What you are paid
- The rate is one US cent (US $0.01) for each counted, paid full play, divided among the credited people according to their shares.
- The rate is the same for every play. It is not reduced by a percentage and it does not depend on how much the subscriber listened that month.
- We may change the rate with at least 30 days' notice. If you do not agree with a change, you may remove your music.
8. When you are paid
- Earnings are worked out monthly and paid within 45 days after the end of each month.
- Payment is made once your balance reaches US $25. A smaller balance carries over to the next month.
- Before you can be paid, you need to set up a payout method and provide the tax forms our payment provider asks for.
- You are responsible for your own taxes. We withhold tax only where the law requires it.
- Daily reports are estimates until the month is closed. If we find an error, we will correct it in a later payment.
9. Fraud and holds
We may withhold or recover payments connected with artificial plays, infringement, or a false credit or declaration, and we may remove the music concerned.
If you have already been paid for plays that are later taken back, the amount is deducted from your future earnings.
If plays of your music appear to be artificial, or come from a subscriber whose card payment was disputed, we may place your payouts on hold while we look into it. Your earnings continue to be recorded during a hold. We will release the hold, or tell you what we found, as soon as we reasonably can.
10. Removing music
You may remove a song at any time. We will take it out of the catalog promptly. It becomes unplayable on subscribers' devices as their apps next connect, and in any case within 30 days. We may remove music that breaks this agreement or is the subject of a claim.
11. Your responsibility for claims
If someone brings a claim against Audiolox because of music you uploaded, or because one of your promises in section 3 was untrue, you will defend us and cover the resulting losses and costs, including reasonable legal fees.
12. Our relationship
You are independent of Audiolox. This agreement does not make you an employee, partner or agent of Audiolox.
13. Ending this agreement
This agreement stays in effect while any of your music is on Audiolox. You may end it by removing your music. We may end it with notice. Amounts you earned before it ended are still paid, subject to sections 8 and 9.
14. Changes
We may update this agreement with at least 30 days' notice. For a material change, we will ask you to sign the new version. Your account keeps a record of each version you signed.
15. Governing law and courts
This agreement is governed by the laws of the State of Washington, USA, without regard to its conflict of law rules. Any dispute will be brought in the state or federal courts located in Washington.
